1. INTRODUCTION AND ACCEPTANCE
These Terms and Conditions ("Terms") govern your access to and use of the websites, platforms, products, and services ("Services") provided by Jessica Anne International Limited trading as Nuziel AI ("we", "us", "our", "Nuziel AI").
Nuziel AI is a B2B artificial intelligence automation and revenue recovery agency. We help New Zealand businesses generate leads, recover dormant customers, and streamline operations through AI-powered systems.
By accessing or using any of our Services, you ("you", "User", "Client") agree to be bound by these Terms and all applicable New Zealand laws and regulations. If you do not agree, please do not use our Services.
These Terms constitute a binding agreement under the Contract and Commercial Law Act 2017 (NZ) and apply to all electronic transactions in accordance with the Electronic Transactions Act 2002 (NZ) ("ETA 2002").
2. DEFINITIONS
In these Terms, unless the context otherwise requires:
• "Agreement" means these Terms together with any Statements of Work, service agreements, or other documents incorporated by reference.
• "Client" means any business or individual who engages Nuziel AI for services.
• "Personal Information" has the meaning given in the Privacy Act 2020 (NZ).
• "Services" means all products, platforms, automation tools, AI systems, consulting, and related services provided by Jessica Anne International Limited trading as Nuziel AI.
• "SMS" means Short Message Service communications sent via electronic means.
• "Working Day" means Monday to Friday excluding New Zealand public holidays.
3. ELECTRONIC TRANSACTIONS AND CONTRACTING
In accordance with the Electronic Transactions Act 2002 (NZ), you acknowledge and agree that:
• These Terms may be entered into electronically and are legally binding when accepted via any electronic means including clicking "I Agree", submitting an online form, or by using our Services.
• Electronic signatures and records have the same legal effect as paper documents and handwritten signatures.
• Communications and notices sent electronically satisfy any legal requirement that such communications be in writing.
• You consent to receive information and disclosures electronically rather than in paper form.
Nothing in these Terms excludes your rights under the ETA 2002 or the Contract and Commercial Law Act 2017.
4. ELECTRONIC MAIL (EMAIL) COMMUNICATIONS
4.1 Consent to Receive Email
By providing your email address and using our Services, you consent to receiving transactional, operational, and where applicable, marketing communications from Nuziel AI. All email communications comply with the Unsolicited Electronic Messages Act 2007 (NZ) ("UEMA 2007").
4.2 Compliance with UEMA 2007
We commit to the following obligations under the UEMA 2007:
• We will only send commercial electronic messages with your express or inferred consent.
• All commercial email communications will clearly identify Nuziel AI (Jessica Anne International Limited) as the sender.
• All commercial emails will include a valid New Zealand postal or physical address.
• Every commercial email will include a clear, functional, and free unsubscribe mechanism.
• Unsubscribe requests will be actioned within five (5) working days of receipt.
• We will never send electronic messages on behalf of third parties without full UEMA 2007 compliance.
4.3 Transactional Emails
Transactional emails (e.g. onboarding documents, invoices, account notifications, service updates) may be sent without a separate opt-in as they are necessary for the performance of your agreement with us. You may not opt out of transactional emails while an active service relationship exists.
5. SMS AND TEXT MESSAGE COMMUNICATIONS
5.1 Consent to SMS
By providing a New Zealand mobile number and using our Services, you expressly consent to receiving SMS messages from Nuziel AI. SMS communications may include appointment reminders, booking confirmations, campaign notifications, service updates, and — where separately consented to — promotional messages.
5.2 UEMA 2007 Compliance for SMS
All SMS communications comply with the UEMA 2007. Specifically:
• You will only receive commercial SMS messages where you have provided prior express or clearly inferred consent.
• Each commercial SMS will identify Nuziel AI as the sender.
• Every commercial SMS will include or link to opt-out instructions (e.g. "Reply STOP to unsubscribe").
• Opt-out requests via SMS will be processed within five (5) working days.
• Standard mobile carrier rates may apply. We do not charge you for receiving SMS.
5.3 Automated SMS Messaging
Nuziel AI uses AI-powered automation tools and third-party cloud platforms to send automated SMS messages as part of client service delivery. All automated SMS campaigns operated by Nuziel AI on behalf of clients are configured in compliance with the UEMA 2007. Clients remain responsible for ensuring their own end-customer consent records are maintained.
6. PRIVACY AND DATA PROTECTION
6.1 Privacy Act 2020 (NZ)
Jessica Anne International Limited trading as Nuziel AI is bound by the Privacy Act 2020 (NZ) and its thirteen Information Privacy Principles ("IPPs"). We collect, hold, use, and disclose personal information only in accordance with these IPPs and our Privacy Policy, available at nuziel.com/privacy.
6.2 What We Collect
We may collect the following categories of personal information:
• Identity information: name, company name, job title
• Contact information: email address, phone number, physical and postal address
• Transaction data: purchase history, service records, billing information

7. AI-POWERED SERVICES AND AUTOMATION
Nuziel AI delivers services using artificial intelligence, machine learning, and automated systems. You acknowledge that:
• AI-generated outputs are provided as tools to support decision-making and do not constitute professional legal, financial, or regulatory advice.
• Automated communications (email, SMS, chatbot interactions) facilitated via our platform comply with applicable NZ law.
• Results achieved through automation tools may vary and are not guaranteed.
• You remain responsible for reviewing and approving automated campaigns, content, and communications sent on your behalf as a client of Nuziel AI.
• Nuziel AI does not accept liability for outcomes resulting from a client's misuse of delivered automation systems.
8. INTELLECTUAL PROPERTY
All intellectual property rights in our Services, website, software, content, trademarks, and materials — including the brand name "Nuziel AI" — are owned by or licensed to Jessica Anne International Limited. You may not reproduce, modify, distribute, or use our intellectual property without our prior written consent.
Where we develop custom automation systems, workflows, or tools for a client, ownership of deliverables will be as specified in the relevant Statement of Work. In the absence of a specific agreement, all underlying frameworks, templates, and systems remain the property of Nuziel AI.
9. FAIR TRADING ACT 1986
Nuziel AI complies with the Fair Trading Act 1986 (NZ). We do not engage in misleading or deceptive conduct. All representations made about our Services, capabilities, and results are made in good faith and are not intended to mislead.
10. PAYMENT TERMS
Where Services are provided on a paid basis:
• Payment terms are as set out in the relevant Statement of Work or invoice.
• All prices are in New Zealand Dollars (NZD) and are exclusive of GST unless stated otherwise.
• GST at the prevailing rate will be added to all taxable supplies.
• Invoices are due within fourteen (14) days of issue unless otherwise agreed in writing.
• Nuziel AI reserves the right to suspend Services for non-payment after providing reasonable written notice.
• Disputed invoices must be raised in writing within seven (7) days of receipt.
11. CONFIDENTIALITY
Both parties agree to keep confidential all non-public information disclosed in connection with the Services ("Confidential Information"). Neither party will disclose Confidential Information to third parties without prior written consent, except as required by law. This obligation survives termination of the agreement.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
• Nuziel AI's total liability to you for any claim arising in connection with these Terms or our Services shall not exceed the total fees paid by you to Nuziel AI in the three (3) months preceding the event giving rise to the claim.
• Nuziel AI is not liable for any indirect, consequential, incidental, or special loss or damage, including loss of profit, revenue, data, or business opportunity.
Nothing in these Terms limits liability for death or personal injury caused by negligence, or fraud or fraudulent misrepresentation.
13. TERMINATION
Either party may terminate the Services agreement by providing written notice as specified in the relevant service agreement. Upon termination:
• You remain liable for all fees and charges incurred up to the date of termination.
• Nuziel AI will cease processing your data in accordance with our data protection obligations.
• Clauses relating to intellectual property, confidentiality, liability, and dispute resolution survive termination.
14. CHANGES TO THESE TERMS
Nuziel AI reserves the right to update or amend these Terms at any time. We will provide at least fourteen (14) days' written notice of material changes via email to your registered address or by prominent notice on our website. Continued use of our Services after the effective date of amended Terms constitutes your acceptance of the updated Terms.
15. COMPLAINTS AND DISPUTE RESOLUTION
We are committed to resolving disputes fairly and promptly. If you have a complaint:

• We will acknowledge your complaint within two (2) working days and aim to resolve it within ten (10) working days.
• If the matter is not resolved to your satisfaction, disputes shall be referred to mediation in New Zealand before commencing legal proceedings.
• Nothing in this clause prevents you from referring a complaint to the New Zealand Commerce Commission, the Privacy Commissioner, or any other relevant regulatory body.
16. GOVERNING LAW AND JURISDICTION
These Terms are governed by and construed in accordance with the laws of New Zealand. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the New Zealand courts.
17. GENERAL PROVISIONS
• Entire Agreement: These Terms, together with any applicable service agreements, constitute the entire agreement between the parties relating to the Services.
• Severability: If any provision of these Terms is found to be unenforceable, it will be severed without affecting the remaining provisions.
• Waiver: Failure to enforce any provision does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our prior written consent.
• Force Majeure: Neither party is liable for delay or failure to perform obligations due to circumstances beyond their reasonable control.
